These terms govern the use of MaruPay by businesses (“merchants”). By creating a console account, using the API or accepting an order form that references these terms, you agree to them. If you accept on behalf of a company, you confirm that you're authorized to bind it.
Commercial details such as fees and settlement terms are set out in the merchant agreement or order form. If it conflicts with these terms, the merchant agreement prevails.
The service
MaruPay lets merchants accept Korean gift voucher payments in their own purchase flow. The service includes a hosted payment screen, a payment API, signed webhooks, a merchant console and per-transaction settlement records.
MaruPay doesn't sell gift vouchers and isn't a party to the sale between a merchant and its users. The merchant is responsible for its products and services, its users, its prices and refunds, and its own legal obligations.
Accounts and access
- Accounts are activated only after we review the merchant. We may decline or limit an account at our discretion.
- You must give us accurate information and keep it current.
- Keep credentials, API keys and webhook secrets confidential. You're responsible for activity under your account, and you must tell us promptly about any unauthorized use.
- Give each team member only the access their role needs, and remove access when it's no longer needed.
Integration and going live
Live payments open only after your integration passes the integration test. We may ask for changes to your integration before or after going live if they're needed for the service to work correctly or securely.
Payments, notifications and settlement
- A payment is complete only when receipt is confirmed and matched to exactly one payment request. Payments that can't be matched this way are held for review and aren't completed automatically.
- Webhooks may be retried and delivered more than once. You must verify each webhook's signature and apply each event ID only once.
- Settlement is carried out according to the merchant agreement. Settlement records are append-only, and corrections are made by adding new entries.
- You must credit your users only for completed payments.
Acceptable use
You may not use MaruPay, or allow others to use it:
- for any unlawful activity, or to sell products or services that are illegal where they're offered or where your users are;
- for fraud, money laundering, terrorist financing or to evade sanctions;
- to misrepresent your business, the products you sell or the nature of a transaction;
- to resell, sublicense or share access to the service, or to process payments for any business other than the one we approved;
- to interfere with the service, probe it beyond the documented API or test its security without our written permission;
- to copy, reverse engineer or build a competing product from the service, except where the law expressly allows it.
We may review activity on an account to enforce these rules.
Suspension and termination
We may suspend or restrict an account, hold payments for review, or end the service if we reasonably believe these terms have been breached, if required by law or a partner, or to protect users, merchants or MaruPay. Where we can, we'll tell you why. You may stop using the service at any time; the merchant agreement governs notice periods and final settlement.
Fees
Fees and settlement terms are set in the merchant agreement or order form. Unless stated otherwise, fees exclude taxes.
Confidentiality and data
Each party will protect the other's confidential information and use it only to perform under these terms. We handle personal information as described in our Privacy Policy. You're responsible for having the notices and permissions needed to send us your users' payment references.
Intellectual property
MaruPay and its licensors own the service, including the software, documentation and brand. You receive a limited, non-transferable right to use the service during your subscription. If you send us feedback, we may use it without obligation.
Disclaimers and liability
Except as set out in the merchant agreement, the service is provided “as is”. To the extent the law allows, neither party is liable for indirect or consequential losses, and each party's total liability is limited as set out in the merchant agreement. Nothing in these terms limits liability that can't be limited by law.
You'll indemnify MaruPay against third-party claims arising from your products and services, your dealings with your users, or your breach of these terms.
Changes and governing law
We may update these terms. We'll give notice of material changes before they take effect, and continued use after that date means you accept them. The merchant agreement specifies the governing law and the forum for disputes.
